SCOPE OF SUPPLY: Our proposal is for the design, procurement, manufacture, testing, painting and delivery of the equipment detailed within. It should be noted that we do not include for any items not specifically mentioned in this proposal.
VALIDITY: Unless previously withdrawn, our offer will remain valid for acceptance for 30 days from the date of this tender.
PRICE: The prices quoted in this tender will remain fixed throughout the duration of the contract provided dispatch from our works is accepted in accordance with the above lead times. Due to extreme volatility of the current commodity markets ClydeUnion Pumps reserves the right to change this price in accordance with any changes in input material costs at the time of their production.

TERMS & CONDITIONS FOR SALE
1. APPLICABILITY
These standard terms and conditions of sale (the “Terms and Conditionsâ€) are applicable to all quotations made by or for CLYDE UNION S.A.S. (“Companyâ€), and particularly to the Goods described on the data sheet attached hereto.
(a)All orders placed by the Buyer are subject to approval and written confirmation by the Company at its head office in Annecy, France, and there shall be no contract between Buyer and the Company prior to the time of such confirmation by the
Company.
(b)Company shall not be deemed to have waived the following conditions if it fails to object to the conditions appearing in or attached to a Purchase Order issued by Buyer. Buyer’s acceptance of Goods or Services called for in a Purchase Order shall constitute its acceptance of the Terms and Conditions.
(c)Buyer shall immediately inspect all Goods from Company upon Buyer’s receipt and Buyer shall, within five (5) days of such receipt, notify Company in writing of
Buyer’s rejection of part or all of the Goods and the reason(s) for such rejection. In the event that such notice is not timely given, Buyer expressly waives all rights to reject or to revoke acceptance of the Goods and shall have accepted such Goods and is liable to Company for full payment of such Goods.
2. WARRANTY
(a)Company warrants that on the date of shipment from Company’s facility the Goods are of the kind and quality described herein and are free of
Order accepted by Company. Company will transfer to Buyer ownership and clear title to Goods delivered, free of all liens, encumbrances, and rights of third parties (except those created by Buyer). This warranty does not apply to Goods delivered by Company but manufactured by others.
(b)Buyer’s exclusive remedy for nonconformity in any item of the Goods shall be the repair or the replacement (at Company’s option) of the item and any affected part of the Goods. Company’s obligation to repair or replace shall be in effect for a period of one (1) year from initial operation of the Goods but not more than eighteen (18) months from Company’s delivery of the Goods, provided Buyer has sent written notice within that period of time, or within thirty (30) days after the end of the applicable warranty period to Company that the Goods do not conform to the above warranty. Repaired and replacement parts shall be warranted for the remainder of the original period of notification set forth above, but in no event less than 12 months from repair or replacement. At its expense, Buyer shall remove and ship to Company any such nonconforming items and shall reinstall the repaired or replaced parts. Buyer shall grant Company access to the Goods at all reasonable times in order for Company to determine any n nconformity in the Goods. Company shall have the right of disposal of items replaced by it. If Company is unable or unwilling to repair or replace, or if repair or replacement does not remedy the nonconformity, Company and Buyer shall negotiate an equitable adjustment in the Purchase Order price.
(c)Buyer and successors of Buyer are limited to the remedies specified in this article and shall have no others for a nonconformity in the Goods. Buyer agrees that these remedies provide Buyer and its successors with a minimum adequate remedy and are their exclusive remedies, whether Buyer’s or its successors’ remedies are based on contract, warranty, tort (including negligence), strict liability, indemnity, or any other legal theory, and whether arising out of warranties, representations, instructions, installations, or
(d)This warranty shall not apply in the event of defects caused by: (i) physical abuse of the Goods or any component, or acts of vandalism by any persons other than
Company, its employees, agents, or subcontractors; (ii) alterations, modifications, additions, or repairs made during the applicable warranty period by anyone other than Company, its employees, agents or subcontractors; (iii) accidents or damage resulting from fire, water, wind, hail, lightning, electrical surge or failure, earthquake, theft or similar causes not caused or contributed to by the sole negligence of Company or its employees, agents, or subcontractors; or (iv) damage as a result of corrosion or other damage caused by Buyer’s failure to protect the Goods in accordance with Company’s written instructions and warnings.
(e)THE FOREGOING WARRANTIES ARE THE SOLE WARRANTIES PROVIDED BY COMPANY FOR THE GOODSANDARE IN LIEU OFALL OTHER WARRANTIES, EXPRESS OR IMPLIED, ALL OF WHICH ARE HEREBY DISCLAIMED AND EXCLUDED BY COMPANY, INCLUDING, WITHOUT LIMITATION,ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR USE. BUYERAGREES THAT ITS SOLEAND EXCLUSIVE REMEDYAGAINST COMPANY WILL BE LIMITED TO THE REPAIR AND REPLACEMENT OF NONCONFORMING OR DEFECTIVE GOODS, PROVIDED COMPANY IS PROMPTLY NOTIFIED IN WRITING OF ANY DEFECT. THIS EXCLUSIVE REMEDY WILL NOT BE DEEMED TO HAVE FAILED OF ITS ESSENTIAL PURPOSE SO LONG AS COMPANY IS WILLING TO REPAIR OR REPLACE THE NONCONFORMING OR DEFECTIVE GOODS.
3. PATENTS AND INTELLECTUAL PROPERTY
Company shall pay costs and damages finally awarded in any suit against Buyer to the extent based upon a finding that the design or construction of the Goods as furnished infringes a patent or other third party intellectual property rights (except infringement occurring as a result of incorporating a design or modification at Buyer’s request), provided that Buyer promptly notifies Company of any charge of infringement, and
Company is given the right at its expense to settle such charge and to defend or control the defense of any suit based upon such charge. Company shall have no obligation hereunder with respect to claims, suits or proceedings, resulting from or related to, in whole or in part, (i) the use of software or software documentation,
(ii) compliance with Buyer’s specifications, (iii) the combination with, or modification of, the Goods after delivery by Company, or (iv) the use of the Goods, or any part thereof, in the practice of a process. THIS ARTICLE SETS FORTH COMPANY’S
ENTIRE LIABILITY WITH RESPECT TO PATENTS OR OTHER INFRINGEMENTS OF INTELLECTUAL PROPERTY.
4. PERFORMANCE; DELAYS
Timely performance by Company is contingent upon Buyer’s supplying to Company, when needed, all required technical information and data, including drawing approvals, and all required commercial documentation. If Company suffers delay in performance due to any cause beyond its reasonable control, the time of performance shall be extended a period of time equal to the period of the delay and its consequences. Company will give to Buyer notice within a reasonable time after Company becomes aware of any such delay.
5. DELIVERY, TITLE AND RISK OF LOSS
The Goods will be delivered to the delivery point indicated on the Purchase Order, but if no delivery point is specified, then the Goods will be delivered F.C.A.Annecy (in accordance with Incoterms 2010) and title will transfer upon delivery to the Incoterms delivery point. In either event, Buyer will be responsible for making appropriate shipping arrangements, and Buyer will provide sufficient notice and details of such arrangements to allow Company to prepare the Goods for delivery. Unless otherwise indicated in the Purchase Order, all delivery dates specified in this Purchase Order are estimates only and time is not of the essence in Company’s performance of this Purchase Order. Risk of loss of the Goods will remain with Company and not pass to Buyer until delivery to the Incoterms delivery point.
6. FORCE MAJEURE
Company will not be deemed to be in default or otherwise responsible for delays or failures in performance resulting from acts of God; acts of war, or civil disturbance, terrorism, epidemics, governmental action or inaction, fires, earthquakes, tornadoes, beyond Company’s reasonable control. A force majeure event affecting Company’s vendors shall also be deemed as a force majeure event for the Company, provided that the Company shall use commercially reasonable efforts to mitigate any delays caused by its vendor’s force majeure situation. Company shall in such instances give notice of the

Buyer may specify the method of transportation and the type and number of packing slips and other documents to be provided with each shipment. Company will pack and ship Goods in accordance with Buyer’s reasonable instructions, including labelling, and hazardous materials instructions. If Buyer has not provided packing or shipping instructions, Company will pack and ship Goods in accordance with sound commercial practices. No charges will be made by Company or accepted by Buyer for boxing, packaging or crating unless otherwise agreed upon.

10. NON CANCELLATION
Buyer may not cancel or terminate for convenience, or direct suspension of manufacture, except with Company’s written consent and then only upon terms that will compensate Company for its engineering, fabrication and purchasing charges and any other costs relating to such cancellation, termination or suspension, plus a reasonable amount for profit and overhead.
11. LIMITATION OF LIABILITY
NEITHER COMPANY AND ITS AFFILIATES AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, INSURERS AND ATTORNEYS SHALL BE LIABLE, WHETHER IN CONTRACT, WARRANTY, FAILURE OF A REMEDY TO ACHIEVE ITS INTENDED OR ESSENTIAL PURPOSES, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, INDEMNITY OR ANY OTHER LEGAL THEORY, FOR LOSS OF USE, REVENUE OR PROFIT, OR FOR COSTS OF CAPITAL OR OF SUBSTITUTE USE OR PERFORMANCE, OR FOR INDIRECT, SPECIAL, LIQUIDATED, INCIDENTAL OR CONSEQUENTIAL DAMAGES, OR FOR ANY OTHER LOSS OR COST OF A SIMILAR TYPE, OR FOR CLAIMS BY BUYER FOR DAMAGES OF BUYER’S CUSTOMERS. COMPANY’S MAXIMUM LIABILITY UNDER THIS PURCHASE ORDER FOR ALL CLAIMS AND LOSSES ARISING OUT OF OR RELATED TO THIS PURCHASE ORDER OR THE MANUFACTURE OR SALE OF THE GOODS SHALL BE THE PURCHASE ORDER PRICE. BUYER AND COMPANY AGREE THAT THE EXCLUSIONS AND LIMITATIONS SET FORTH IN THIS ARTICLE ARE SEPARATE AND INDEPENDENT FROM ANY REMEDIES WHICH BUYER MAY HAVE HEREUNDER AND SHALL BE GIVEN FULL FORCE AND EFFECT WHETHER OR NOT ANY OR ALL SUCH REMEDIES SHALL BE DEEMED TO HAVE FAILED OF THEIR ESSENTIAL PURPOSE.
12. GOVERNING LAW
The laws of France shall apply to any contract or service related to the sale of Company’s Goods, notwithstanding their conflict of law provisions.
13. ATTORNEY FEES
Buyer shall be liable to Company for any attorney fees and costs incurred by Company in enforcing any of its rights hereunder.
14. DISPUTES
The parties may at any time, without prejudice to any other proceedings, seek to settle any dispute arising out of or in connection with these Terms and Conditions or the sale of Goods in accordance with the International Chamber of Commerce Amicable
Dispute Resolution Rules (ICC ADR). However, all disputes shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by three arbitrators appointed in accordance with the said Rules. The arbitration will take place in Lyon in the English language.
15. STATUTE OF LIMITATIONS
To the extent permitted by applicable law, any lawsuit for breach of contract, including breach of warranty, arising out of the transactions covered by this Purchase Order, must be commenced not later than twelve (12) months from the date the cause of action accrued.
16. PRICES
Prices quoted are based on anticipated receipt of full manufacturing release for the product within 30 days from the date of quotation. In the event of a price increase or decrease, the price of Goods on order will be adjusted to reflect such increase or decrease. This does not apply to a shipment held by request of Buyer. Goods already shipped are not subject to price increase or decrease. Orders on a bid or contract basis are not subject to this article.
17. DEFFERRED OR DELAYED DELIVERIES
After Buyer’s order has been accepted by the Company, Goods already produced or in the process may not be deferred beyond the originally specified delivery date without the Company’s consent. Any deferment in delivery date is subject to terms necessary to indemnify the Company against all loss, including, but not limited to,
18. CHANGES IN LAWS AND REGULATIONS
Company’s prices and timely performance are based on all applicable laws, rules, regulations, orders, codes, standards or requirements of governmental authorities effective on the date of Company’s proposal. Any change to any law, rule, regulation, order, code, standard or requirement which requires any change hereunder shall entitle Company to an equitable adjustment in the prices and any time of performance.
19. COMPLIANCE WITH EXPORT LAWS AND REGULATIONS
Products manufactured by Seller, as well as technical data related thereto, are subject to export licensing controls under the U.S. Export Administration Regulations and/or the U.S. International Traffic in Arms Regulations, which require licensing for and/or prohibit the export or diversion of the Seller’s products to certain countries. If Buyer is responsible for obtaining export approvals, Buyer warrants that it will not assist or participate in any export of Seller’s products or related technical data without first
obtaining the required export license and will not knowingly assist or participate in any such diversion or other violation of applicable U.S. laws and regulations. If Seller is responsible for obtaining export approvals, Buyer shall assist Seller, as necessary, in obtaining such approvals. Buyer shall indemnify and hold harmless Seller for any losses or claims arising out of or related to Buyer’s failure to comply with applicable export control laws and regulations.
20. RELATIONSHIP OF THE PARTIES
Buyer and Company are independent contractors, and nothing in the contract makes either party the agent or legal representative of the other party for any purpose. Neither party has authority to assume or to create any obligation on behalf of the other party.
21. WAIVER
The failure of Company to enforce any right or remedy provided in the contract or by law on a particular occasion will not be deemed a waiver of that right or remedy on a subsequent occasion or a waiver of any other right or remedy.
22. SEVERABILITY
Afindingthatanyprovision ofthecontractisinvalid orunenforceableinanyjurisdiction will not affect the validity or enforceability of any other provision of the contract or the validity or enforceability of that provision in any other jurisdiction.
23. ASSIGNMENT and DELEGATION
No right or interest in the sale of Goods hereunder shall be assigned by the Buyer without the written permission of the Company, and no delegation of any obligation owed, or the performance of any obligation by the Buyer, shall be made without the written permission of the Company. Any attempted assignment of delegation shall be wholly void and totally ineffective for all purposes unless made in conformity with this paragraph. Company shall have the right to assign this Purchase Order or its obligations hereunder to any affiliate of Company or any successor to substantially all of the assets of Company. In the event of a proper assignment, these Terms and
Conditions shall be binding upon and inure to the benefit of either party’s successors and assigns.
24. THIRD PARTY RIGHTS
Notwithstanding any provision of law, no third party (including Buyer’s customer) shall have any right to enforce these Terms and Conditions or any other contractual rights against Company or its affiliates.
25. HEADINGS
The headings of the various paragraphs of these terms and conditions of sale have been inserted for convenient reference only and shall not to any extent have the effect of modifying, amending or changing the expressed terms and provisions hereof.
26. ETHICAL BUSINESS PRACTICES
Company requires manufacturing and business practices that are compliant with all applicable laws and regulations, including, the need to conduct all transactions in compliance with ethical business practices. Both the Company and the Buyer agree that neither of them nor their employees, agents, representatives or other intermediaries will engage in any activity that may be construed to be in violation of their respective codes of ethical business practices or applicable law. Buyer acknowledges and agrees that it shall not, in regards to the sale or resale of the Company’s products, shall not make any payment or transfer of value to any third party (including through any or multiple intermediaries) that would cause either the Buyer, Company or and of Company’s affiliates to violate either the U.S. Foreign Corrupt Practices Act or any other applicable
Company’s affiliates harmless in the event of any breach of this paragraph by Buyer or any of its intermediaries.
27. INTERPRETATION, PAROL EVIDENCE
These Terms and Conditions are intended as a final expression of the Company’s quotation and as a complete and exclusive statement of terms thereof. No course of prior dealings between the Company and Buyer, and no usage of the trade shall be relevant to supplement or explain any term used herein. Acceptance or acquiescence in a course of performance rendered hereunder shall not be relevant to determine the meaning of these Terms and Conditions even though the accepting or acquiescing party has knowledge of the performance and opportunity for objection. Whenever a term defined by the Uniform Commercial Code is used herein, the definition contained in the Uniform Commercial Code is to control.
